Overview of the Role

This position reports to the Senior Legal Counsel responsible for U.S. institutional, trading and investment matters. Responsible for legal matters relating to Janus Henderson’s advisory and investment business, including with respect to the investment of securities, SEC and CFTC/NFA registration issues and regulatory reporting, evaluation of global regulatory developments that affect the U.S. advisory business, and maintenance of private funds.

Duties and Responsibilities

  • Provide legal advice and research relating to a wide range of investment advisory matters, including:

  • Janus Henderson’s obligations as a registered investment adviser, including issues relating to Form ADV and Form PF

  • Janus Henderson’s obligations as a registered commodity trading adviser and commodity pool operator, including issues relating to Form CPO-PQR and Form CTA-PR

  • Negotiate general trading agreements including for electronic and alternate platform access

  • Provide support relating to investments in privately issued securities

  • Negotiation of confidentiality and non-disclosure agreements

  • Legal support with respect to issues relating to material non-public information

  • Provide legal advice related to general investment matters including the valuation of securities, proxy voting matters and corporate actions.

  • Responsible for the initial review and tracking of global regulatory developments that affect Janus Henderson’s U.S. advisory business

  • Establishes and maintains U.S.-managed private and hedge funds, including:

  • Drafting and updating of offering and organizational documentation

  • Handling subscriptions and negotiations with new clients

  • Negotiating administration and custody agreements

  • Cayman fund board support

  • Strong organizational skills with the ability to prioritize and manage multiple projects simultaneously

  • Ability to maintain confidentiality.

  • Strong attention to detail and accuracy

  • 3-5 years of experience as an attorney within a law firm or financial services company required.

  • J.D. from an accredited school of law

  • Member in good standing of the Colorado Bar or the bar of any other State

Ongoing competence in the role to be assessed by:

  • Annual Performance Appraisal

  • Completion of all assigned Compliance training

  • Weekend, evening and holiday hours may be required.
